Optional company tokens and sponsored minting

A PSR company token is an ERC-721 on Base identifying a company within the game. Token ownership does not convey real-world corporate equity, ownership of PSR intellectual property, dividends, redemption rights, or a right to convert simulated balances into real money. Company management and access remain subject to the game’s rules, permissions, and subscription requirements.

You may create and play a company without linking a wallet. Its mint waits until you select a linked destination wallet. PSR pays company minting gas; a delayed or unavailable sponsorship does not require you to pay that gas. The destination cannot be changed after a mint transaction has been signed. You control your wallet credentials; PSR does not receive your private key or recovery phrase.

Public token metadata includes company identity and dated public simulation statistics. External marketplaces may cache that information. Tokens may be transferable on Base, but an external token transfer does not automatically transfer game account credentials, simulated shareholdings, employees’ accounts, or existing contractual permissions. PSR does not promise external market liquidity or a resale value. Blockchain transactions and public blockchain history cannot be reversed or erased by PSR.

Acceptance and scope

These Terms of Service and End User License Agreement (the “Terms”) govern the PSR Game website, applications, accounts, Company Mail, official Discord server and app integration, PSR Exchange, Fast Track, Empire, operator-provided content, and related services (collectively, the “Service”). By creating an account, selecting an acceptance checkbox, starting a Business License trial, purchasing a Business License, linking Discord, or using the Service, you agree to these Terms, the Privacy Policy, the Billing & Refund Policy, the Simulation Disclaimer, and the Community & Fair Play Rules.

If you do not agree, do not create an account, make a purchase, or use the Service.

Operator and legal contact

PSR Game is operated and controlled by NyFTee.com (“PSR,” “we,” “us,” or “our”). Formal notices may be sent to admin@psrgame.com or to the mailing address listed at the end of this document.

Eligibility and age requirement

You must be at least 18 years old and legally able to enter a binding contract where you live. The Service is not directed to children. You may not use the Service if applicable law prohibits you from doing so, if your account has been permanently removed, or if you are acting for a person whose access has been removed.

Business names, structures, contracts, taxes, investment decisions, employment events, and other in-game activities are fictional gameplay and do not create real legal entities or obligations.

Accounts and security

• Provide accurate registration information and maintain access to your verified email address.
• Use one personal player account unless PSR gives written permission for another role or test account.
• Keep your password and session secure. Do not sell, rent, share, or transfer an account.
• Notify us promptly at admin@psrgame.com if you suspect unauthorized access.
• You are responsible for actions taken through your account until you notify us and we can reasonably secure it.

Founder, operator, moderator, support, and system accounts may receive different permissions or billing treatment because of their administrative purpose. Those permissions do not change the fictional nature of gameplay.

Limited game license

Subject to these Terms, PSR grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for lawful entertainment. You receive no ownership interest in the Service, its software, fictional economy, system-owned companies, content library, or underlying data.

You may not copy, sell, distribute, publicly perform, reverse engineer, bypass, scrape, modify, create unauthorized derivative works from, or commercially exploit any part of the Service except where applicable law expressly prevents that restriction.

The persistent simulated world

PSR World is a continuously changing multiplayer simulation. Companies, prices, rankings, events, markets, mail, employees, ownership interests, loans, economic conditions, and story outcomes may continue changing while you are offline. Automated system companies and rules may provide activity, liquidity, competition, or narrative events.

We may balance, correct, pause, reverse, quarantine, restructure, delist, merge, liquidate, archive, or reset simulated records when necessary to address errors, exploits, market integrity, service updates, or the health of the shared world. We will use reasonable efforts to preserve legitimate progress, but no particular simulated outcome, valuation, ranking, ticker, company, or world state is guaranteed.

No real-world value or cash-out

• Simulated in-game money, shares, securities, portfolios, grants, debt, dividends, valuations, and returns are fictional license features. An expressly identified PSR company ERC-721 on Base is a separate blockchain token, subject to the company-token section above.
• They are not legal tender, cryptocurrency, stored value, securities, financial instruments, property rights, bank deposits, or claims against PSR.
• They cannot be redeemed, withdrawn, sold for cash, converted to real currency, or transferred outside the Service.
• Real payments do not convert into simulated market currency or purchase valuation, shares, leaderboard position, or market influence. Current first-100 and standard memberships provide account access only; some legacy PayPal agreements retain a separately disclosed one-time simulated Founder's Grant.
• Off-platform sales, wagers, loans, swaps, or real-money transactions involving game accounts or simulated balances are prohibited. This does not prohibit transfers of an official PSR company token on Base; transferring that token does not redeem or transfer its simulated cash, shares, or account permissions outside the game.

PSA, grants, and NPC niche investments

Pink Slip Arcade (“PSA”) is a distinct in-world commercial bank and founding financial backer, not the operator or neutral clearing authority. New player companies never issue PSA shares. The prospective NPC-niche rule requires an exact 2.5% PSA subscription and persistent named NPC owner(s) holding the other 97.5%; an anonymous system reserve does not qualify as ownership or control. Any PSA grant, equity percentage, dividend, or ownership interest exists only in PSR World. A real-money Business License subscription payment does not buy an interest in PSA, PSR Game, NyFTee.com, or another player’s real-world business.

Some PayPal agreements created before the first-100 offer opened retain a one-time $25,000 simulated Pink Slip Arcade Founder's Grant under their original disclosed terms. Current first-100 and standard memberships do not include it. A legacy grant carries no interest, repayment, debt, equity, ownership, dividend, return cap, cash-out right, or repeat award. Any authenticated partial refund, full refund, or reversal before delivery revokes an undelivered legacy award; after delivery, no repayment or clawback is created, but consumed account and payer eligibility is never restored.

This Founder's Grant is separate from the exact PSA covenant for newly launched NPC niche companies. That covenant never issues PSA shares in a player company and is not purchased by a Business License. Neither the grant nor any NPC niche ownership record is a promise of real profit, security offering, crowdfunding, real lending, or investment advice.

Business License subscription and purchases

“Business License” is the product name for monthly- or annual-renewing in-game account access. Standard membership is $9.99 USD monthly or $99.00 USD annually. The first 100 successful paying founders may choose $2.99 monthly or $25.00 annually and keep that price while paid access remains continuous. PayPal renews until canceled; Base prepayments do not renew automatically. The Business License is a real-money PayPal subscription—not a government-issued license, real-world business registration, or simulated asset. Its renewals, cancellations, refunds, any legacy Founder's Grant, and optional purchases, are governed by the Billing & Refund Policy and the terms shown at checkout. PayPal processes payments; PSR does not receive or store your full card or bank credentials.

Optional purchases may include custom branding, identity options, presentation features, or additional content. Except for a legacy Founder's Grant already governed by its original plan, purchases do not provide simulated money, shares, preferential market data, artificial valuation, immunity from bankruptcy, or competitive economic power.

Player content and custom brands

“Player Content” includes names, tickers, logos, images, profile text, Company Mail, official PSR Discord messages and reactions, business descriptions, and other material you submit. You retain any rights you already have in your Player Content. You grant PSR a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, adapt for display, moderate, and distribute that content within or in promotion of the Service for as long as reasonably necessary to operate the Service and preserve its historical records.

You represent that you have the rights needed to submit Player Content and that it does not infringe intellectual property, privacy, publicity, or other rights. We may reject, rename, hide, remove, or replace content that violates these Terms, causes confusion, impersonates another person or brand, or creates legal or safety risk.

Legacy custom-logo fees paid before the logo shop item was retired cover the upload and display feature—not for intellectual-property clearance, trademark registration, exclusivity, or ownership of third-party material.

Company Mail, Discord, and player communications

Company Mail is an in-game communication and story-delivery system. It may contain messages from players, automated systems, fictional characters, companies, moderators, or the operator. It is not private encrypted email and must not be used for sensitive personal information, financial credentials, medical information, legal documents, or emergency communications.

The official PSR Discord server is an optional community and structured business interface. Linking Discord does not create a second PSR account. Discord roles, nicknames, messages, reactions, commands, proposals, and moderator statements do not themselves transfer money or ownership, accept a contract, settle a trade, or bind a company. A binding action exists only when the authoritative PSR service verifies current company authority and records the action in game. Public business feeds are informational and reaction-only; reactions have no economic effect. Private negotiation threads are visible to authorized participants and PSR moderators or operators as needed, are not end-to-end encrypted, and must not contain sensitive real-world information.

We may automatically filter, retain, review, restrict, or disclose messages when reasonably necessary to enforce rules, investigate abuse, protect users, comply with law, or operate the Service. Automated or fictional messages will not always be separately labeled when their source is apparent from gameplay context.

Fair play and prohibited conduct

You may not:

• Use alternate accounts, account sharing, coordinated accounts, wash trades, collusion, self-dealing, or artificial transactions to manipulate markets, rankings, grants, offers, or company value.
• Use bots, scripts, automation, unauthorized clients, packet manipulation, macros, scraping, or other tools to play or trade without written permission.
• Exploit bugs, duplicate assets, evade limits, falsify information, reverse transactions, or conceal connected accounts.
• Target, threaten, harass, stalk, discriminate against, defraud, impersonate, or expose personal information about another person.
• Send spam, malware, phishing, real-world investment solicitations, illegal content, or unauthorized advertising.
• Interfere with the Service, security controls, rate limits, logging, moderation, payment systems, or another player’s access.

Monitoring, integrity actions, and enforcement

To protect the shared economy, we may review transaction patterns, linked devices, account relationships, payment events, Company Mail, trading behavior, and gameplay history. Suspected activity may be delayed, limited, canceled, reversed, quarantined, or referred for human review. We may issue warnings, remove content, restrict features, suspend accounts, close accounts, or preserve records needed to prevent repeated abuse.

We are not required to disclose detection methods, connected-account signals, investigation details, or security rules where doing so could enable evasion.

Intellectual property

PSR Game, its software, design, interfaces, fictional world, system companies, original characters, writing, graphics, game rules, databases, logos, and trademarks are owned by or licensed to NyFTee.com. “PSR Game,” “Profit. Strategy. Risk.,” and related names and marks may not be used in a way that suggests endorsement or ownership without written permission.

References to operator-owned or third-party brands do not transfer any trademark rights. If you believe content infringes your rights, send a detailed notice to admin@psrgame.com identifying the work, content, location, contact information, good-faith basis, accuracy statement, and your signature.

Service availability and changes

We may add, remove, rebalance, replace, or discontinue features, content, worlds, companies, prices, rules, providers, or platforms. Maintenance, security events, provider outages, and game updates may temporarily interrupt access. We do not guarantee uninterrupted availability or that every device, browser, or connection will remain supported.

If the entire paid Service is permanently discontinued, we will address remaining paid access as required by applicable law. The persistence of an in-game company does not require PSR to operate the Service indefinitely.

Suspension, termination, and account closure

You may stop using the Service and request account closure. Business License subscription cancellation and account deletion are separate actions. We may suspend or terminate access for material or repeated violations, fraud, chargebacks, security threats, legal requirements, nonpayment, or conduct that threatens the Service or its community.

After closure, we may delete, anonymize, archive, or retain information as described in the Privacy Policy. Shared-world records may remain in anonymized or historical form when deletion would compromise other players’ transactions, market history, fraud prevention, or legal records.

Disclaimers of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PSR DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that gameplay will be error-free, uninterrupted, profitable, educationally accurate, or suitable for real-world decisions. Some jurisdictions do not allow certain disclaimers, so those limitations apply only to the extent lawful.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSR AND ITS OWNERS, AFFILIATES, CONTRACTORS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, DATA, GOODWILL, OPPORTUNITIES, OR BUSINESS; OR LOSS OF SIMULATED ASSETS, VALUE, RANK, OR PROGRESS.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO PSR DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $50. This limitation does not apply where liability cannot legally be limited, including certain consumer rights, intentional misconduct, or personal injury caused by negligence where applicable law says otherwise.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PSR and its owners, affiliates, contractors, licensors, and providers from claims, damages, losses, liabilities, and reasonable costs arising from your Player Content, unlawful conduct, infringement of another party’s rights, misuse of the Service, or material violation of these Terms. This section does not require a consumer to indemnify PSR for PSR’s own unlawful conduct.

Governing law and disputes

Before filing a claim, you and PSR agree to provide written notice describing the dispute and allow thirty days for an informal resolution. Notices to PSR must be sent to admin@psrgame.com and the mailing address below.

Except where consumer law requires otherwise, these Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. State and federal courts located in Pima County, Arizona will have exclusive jurisdiction, and each party consents to that venue. To the extent permitted by law, each party waives trial by jury. You may still bring an eligible individual claim in small-claims court.

Changes to these Terms

We may update these Terms to reflect new features, providers, laws, safety needs, or business practices. We will post the new effective date and provide additional notice for material changes when reasonably required. If a material change requires renewed consent, continued access may depend on accepting the updated version. Changes do not retroactively alter a dispute that arose before the updated effective date unless law permits and the parties agree.

General terms

These Terms and the incorporated policies are the entire agreement regarding the Service. If one provision is unenforceable, it will be narrowed or removed only to the minimum extent necessary, and the remainder continues. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, sale, or transfer of the Service. Section headings are for convenience only. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, disputes, and enforcement records—will survive.
